PROPOSED TRANSACTION
 The proposed transaction includes the sale (100% stake) of a consolidated lot of operating and non-operating asset sin the hydrocarbons distribution industry.
 The property and operating companies are not included in the transaction and for this reason this transaction is debt free.
 Current Management will not continue after this transaction. However they will cooperate with the investor during a reasonable interim period.

A family-owned company created in 1986 which owns the assets included in the proposed transaction.

ACTIVITY
The principal activity of the group (85% of the revenues) is to be an independent distributor of oil products in Spain, under the Top Oil brand
Besides this, the Group has other activities of lesser importance.

DESCRIPTION
Oil warehouses are tanks designed to store all types of diesel petrol (diesel A, B, C and bio-diesel)
The Group distributes oil products stored in the fuel tanks (company’s oil warehouses) using its own truck fleet. For this purpose, the Group has a fleet of 8 tankers (sublet tractor heads) and 16 trucks.
Diesel oil is the only product sold.
CLIENTS
The main clients are companies with on-site warehousing facilities for self-consumption such as factories, farms, etc.

Important synergies between oil warehouses and the network of petrol stations are created as they both share personnel expenses and control procedures are improved.

DESCRIPTION
All facilities operate by selling fuel and lubricants for motor vehicles and providing additional services to road travelers or urban citizens (depending on the situation) (car washes and convenience store). Some of them have restaurants and rest areas as well.
COMMON SERVICES
 All petrol stations are full service; attendants are required to pump gas and collect payment.
 12 petrol stations are open 24 hours a day and the others remain closed from 11 p.m. to 7 a.m.
UPDATING PROCESS
 The petrol station network is in adaptation phase in accordance with the sector’s new technology requirements, such as CCTV, POS and management computer system, facilities modernization, improvements in access to the stations, new auxiliary services…
The modernization process started 9 years ago and has been completed in about 80%of petrol stations

COLLET POLICY
 The petrol stations have pay-at-the-pump credit card terminals(H24 and bank TPV).
 Petrol stations sometimes allow customers to pump gas first and pay afterwards.
 Nightly, customers must generally pay before pumping fuel.
 Car washes sometimes offer free of charge or discounted prices with a certain amount of gas purchased.
TOP OIL CARDS
 Affiliate card program. The Top Oil petrol stations network has affiliate cards that apply discounts according to customers´monthly consumption.
 Credit card program. Customers must obtain a 30 day estimated consumption guaranty, covered by a credit insurance company.
 There are about 18,150 active affiliate clients.
Sale in three steps
In the first step there will be the purchase of 22 Petrol Stations and 7 Oil distributor companies with 18 trucks, in which the seller owns 100 % of the shares,
In the second step the purchase of the objects in which the seller is only partial owner will be realized. These are 35 petrol stations,
then in the 3rd step will be the rest up to 200 petrol stations. The total investment will be roundabout 600 million Euros
plus 3% broker Commission
